Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HOCOplus platform, websites, and services (collectively, the "Service"), operated by Brigade Management, Inc., a Texas corporation, doing business as HOCOplus ("HOCOplus," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

HOCOplus provides an online platform that enables hosts to create, publish, and manage events and to offer free registration or paid tickets, and enables attendees to discover events and register for or purchase tickets. HOCOplus is a technology provider and is not the organizer of any event listed on the Service.

2. Accounts

You must provide accurate information and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create a host account.

3. Host responsibilities

If you create or host events, you are solely responsible for your events, event content, pricing, communications with attendees, and compliance with all applicable laws, including tax, licensing, and consumer-protection requirements. You are responsible for honoring the events and tickets you offer, and for any refunds you agree to provide.

4. Payments, fees, and payouts

Subscription plans are billed in advance on a recurring basis until cancelled. For paid tickets, payment processing and host payouts are handled through our third-party payment provider, and your use of those services is subject to the provider's terms. HOCOplus charges a platform fee of five percent (5%) on paid ticket sales, in addition to any payment-processing fees. For vendor bookings made through the marketplace, HOCOplus charges the vendor a commission on completed bookings, as described in Section 15. You authorize us and our payment provider to deduct applicable fees and commissions before remitting funds. Hosts and vendors are the merchant of record for their own sales through the payment provider's connected-account system; HOCOplus does not take custody of, hold, or control sale proceeds, which settle directly to the host or vendor. Except as required by law, platform fees and commissions are non-refundable once the related event or service has been delivered.

5. Attendee responsibilities

Tickets and registrations are offered by hosts, not by HOCOplus. Any dispute regarding an event, its content, or a refund is between you and the host. You agree to provide accurate information when registering or purchasing.

6. Acceptable use

You agree not to use the Service to: violate any law; post false, misleading, infringing, or unlawful content; host events that are fraudulent or harmful; interfere with or disrupt the Service; attempt unauthorized access; or use the Service to transmit malware or spam. We may remove content or suspend accounts that violate these Terms.

7. Content

You retain ownership of content you submit, and you grant HOCOplus a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as necessary to operate and promote the Service. You represent that you have the rights necessary to grant this license.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by HOCOplus and its licensors and is protected by law. These Terms do not grant you any right to our trademarks or branding.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY EVENT WILL TAKE PLACE AS DESCRIBED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOCOPLUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO HOCOPLUS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to indemnify, defend, and hold harmless HOCOplus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of the Service; (b) your events, content, or ticket sales; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Provisions that by their nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Texas, and you consent to their jurisdiction.

14. Changes

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

15. Vendors and the marketplace

HOCOplus offers a marketplace where independent vendors (such as caterers, photographers, rental companies, and other event service providers) can list their services and receive booking requests from hosts. Vendors are independent businesses and are not employees, agents, partners, or representatives of HOCOplus. HOCOplus does not provide, endorse, guarantee, or supervise any vendor's services and is not a party to any contract between a host and a vendor.

Your selection of a vendor is your decision alone, made entirely at your own risk. HOCOplus does not select, recommend, endorse, employ, supervise, direct, control, insure, or guarantee any vendor, and makes no representation or warranty of any kind, express or implied, about any vendor or their services — including their identity, qualifications, licensing, insurance, background, safety, legality, availability, quality, pricing, timeliness, or conduct. You are solely responsible for evaluating, choosing, communicating with, contracting with, paying, and relying on any vendor, and for performing your own due diligence before doing so.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ASSUME ALL RISK ARISING FROM YOUR SELECTION OR ENGAGEMENT OF ANY VENDOR, AND YOU RELEASE AND FOREVER DISCHARGE HOCOPLUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, INJURIES, LOSSES, LIABILITIES, AND EXPENSES OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN — INCLUDING PERSONAL INJURY, WRONGFUL DEATH, PROPERTY DAMAGE, AND ECONOMIC OR FINANCIAL LOSS — ARISING OUT OF OR IN ANY WAY RELATING TO ANY VENDOR, THEIR ACTS OR OMISSIONS, THEIR SERVICES, OR YOUR SELECTION, ENGAGEMENT, OR USE OF THEM. This release is in addition to, and does not limit, the disclaimers, limitation of liability, and indemnification in Sections 9, 10, and 11, which apply fully to vendors and the marketplace. You further agree to indemnify, defend, and hold harmless HOCOplus on the terms of Section 11 from any claim, brought by you or any third party, arising out of or relating to any vendor you select, engage, or use.

Any "Verified" status, badge, or similar indicator reflects only that a vendor has submitted certain documentation to HOCOplus at a point in time. It is a limited administrative check — not an endorsement, certification, recommendation, or guarantee of any vendor, and not a representation that any license, insurance, or other information is current, accurate, sufficient, or valid. You may not rely on it as a substitute for your own due diligence, and it does not shift any risk or responsibility to HOCOplus.

If you list your business as a vendor, you are solely responsible for your listing, your services, your pricing, your communications, your conduct, and your compliance with all applicable laws — including any licensing, insurance, permitting, safety, and tax requirements for your category of service. You represent that the information in your listing is accurate and that you are authorized to offer the services you list.

Where booking and payment take place through the Service, HOCOplus charges the vendor a commission on completed bookings (currently ten percent (10%)), reduced to seven percent (7%) with an optional Vendor Pro membership. Vendor payouts are processed through our third-party payment provider's connected-account system and are subject to that provider's terms. Any dispute regarding a booking, a service, its quality, a cancellation, or a refund is between the host and the vendor. Cancellation and refund terms for a booking are set out at the time of booking and by the vendor's stated policy.

16. Refunds and cancellations

HOCOplus provides the platform through which hosts sell tickets and vendors accept bookings, but the host or vendor — not HOCOplus — is the merchant of record and sets the refund and cancellation terms for their own event or service. HOCOplus does not hold funds and therefore does not issue refunds on its own account.

Tickets. Each host selects a refund policy for their event, which is displayed on the event page and at checkout before you purchase. Under a "Flexible" policy, a full refund is available up to seven (7) days before the event; under an "All sales final" policy, tickets are non-refundable. Requests for a ticket refund are handled by the host through the payment provider against the original charge.

Vendor bookings. Vendors set their own cancellation terms, which are shown to the host before payment. Refunds for a booking are issued by the vendor through the payment provider against the original charge, in accordance with those terms.

Platform fees and commissions. HOCOplus's platform fee and vendor commission are non-refundable once the related event has occurred or the related service has been delivered, and are refunded proportionally where a purchase is fully refunded before delivery. Chargebacks and payment disputes are handled through the payment provider and are the responsibility of the merchant of record.
